1. Introduction

These Terms of Use govern your access to and use of the ComplaiBos platform ("Platform"), operated by ComplaiBos ("we", "us", "our"). By accessing this Platform, you agree to these terms in full. If you do not agree, please discontinue use immediately.

ComplaiBos is a compliance management tool designed to assist legal professionals, Company Secretaries, Chartered Accountants, and corporate entities in tracking statutory deadlines and managing compliance obligations under Indian law.

2. Use of Platform

You may use the Platform solely for lawful purposes in connection with corporate compliance management. You agree not to:

• Use the Platform in any manner that violates applicable Indian law or regulation
• Attempt to gain unauthorised access to any part of the Platform or its backend infrastructure
• Upload, transmit or store malicious code, viruses, or harmful data
• Impersonate any person or entity, or misrepresent your affiliation with any organisation
• Use any automated scraping, crawling, or data extraction tool without prior written consent
• Reproduce, redistribute, or commercially exploit Platform content without authorisation

We reserve the right to suspend or terminate access for any user who violates these terms, without prior notice.

3. User Accounts

To access the full functionality of the Platform, you must register an account using a valid email address or mobile number and a password of your choosing. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Promptly notifying us of any unauthorised use of your account

We reserve the right to delete inactive accounts or accounts that violate these Terms. Entity data associated with your account is stored on Supabase (PostgreSQL) hosted infrastructure and is not accessible to other users.

4. Service Enquiries

When you submit an enquiry through the "Our Services" section of the Platform, you are initiating a commercial engagement with ComplaiBos for the requested service. By submitting an enquiry, you acknowledge that:

• The prices displayed are indicative and subject to confirmation by our team
• Submission of an enquiry does not constitute a binding contract
• Government fees, stamp duty, and third-party charges are separate from the service fees shown
• Turnaround times depend on availability of complete documentation from the client
• ComplaiBos is not responsible for delays caused by MCA portal downtime or regulatory authority processing times

5. Intellectual Property

All content on the Platform — including but not limited to the ComplaiBos software, design, compliance calculation logic, forms data, articles, and service descriptions — is the intellectual property of ComplaiBos and protected under applicable Indian IP law.

You are granted a limited, non-exclusive, non-transferable licence to use the Platform solely for your internal compliance management purposes. This licence does not permit redistribution, sublicensing, reverse engineering, or creation of derivative works.

6. Disclaimer of Warranties

The Platform is provided "as is" and "as available." While we make every effort to ensure accuracy of deadline calculations and compliance information, ComplaiBos makes no warranty that:

• The Platform will be error-free, uninterrupted, or available at all times
• Compliance calculations will be accurate for every specific factual situation
• MCA circulars and notifications will be reflected in real time

Users are advised to independently verify all filing deadlines with the MCA portal and consult a qualified CS or CA before relying on any calculation for actual filing decisions. ComplaiBos shall not be liable for any penalties, losses, or damages arising from reliance on Platform data.

7. Privacy Policy

This Privacy Policy describes how ComplaiBos collects, uses, stores, and protects your personal information when you use the Platform. We are committed to protecting your privacy in accordance with the Information Technology Act 2000, the IT (Amendment) Act 2008, and applicable data protection norms in India.

By using the Platform, you consent to the collection and use of your information as described in this Policy.

8. Data We Collect

We collect the following categories of information:

• Account Information: Name, email address, and/or mobile number provided during registration
• Entity Data: Company/LLP names, CINs/LLPINs, incorporation dates, capital figures, director/partner details, and DINs/DPINs that you enter into the Platform
• Compliance Records: Filing status, due dates, and penalty estimates generated or marked within your account
• Enquiry Data: Name, email, mobile, contact preference, and message submitted through the Services enquiry form
• Usage Data: Browser type, IP address, pages visited, and session duration (collected automatically for platform security and improvement)

We do not collect sensitive financial data such as bank account numbers, payment card details, or Aadhaar numbers through the Platform.

9. How We Use Your Data

Your data is used exclusively for the following purposes:

• Providing and operating the ComplaiBos Platform and its features
• Processing service enquiries and communicating with you about those services
• Sending deadline reminders to the notification email address associated with an entity (if provided)
• Improving Platform functionality and fixing errors
• Complying with legal obligations applicable to ComplaiBos

10. Data Security

We take reasonable technical and organisational measures to protect your data:

• All data is stored on Supabase (PostgreSQL) with encrypted connections (SSL/TLS)
• Passwords are hashed using bcrypt before storage — we never store plaintext passwords
• Session tokens are managed via Flask's server-side session mechanism with secure, HTTP-only cookies
• The Platform is served exclusively over HTTPS on Render's infrastructure
• Admin access to the backend panel is restricted to ComplaiBos team members via separate credentials stored as environment variables

Despite these measures, no system is perfectly secure. In the event of a data breach affecting your personal information, we will notify affected users within a reasonable time as required by applicable law.

11. Your Rights

As a user of the Platform, you have the following rights regarding your personal data:

• Access: You may request a copy of the personal data we hold about you
• Correction: You may update your account information at any time through your dashboard
• Deletion: You may request deletion of your account and all associated entity data
• Portability: You may export your entity data at any time
• Objection: You may object to processing of your data for any purpose beyond core Platform operation

12. Governing Law & Contact

These Terms and Privacy Policy are governed by the laws of India. Any disputes arising from your use of the Platform shall be subject to the exclusive jurisdiction of the courts at the registered office of ComplaiBos.
